Terms of Service
Effective date: July 4, 2026 · Applies to: Omniroq
These Terms of Service (the "Terms") are a binding agreement between you and Omniroq ("Omniroq", "we", "us", or "our"), governing your access to and use of the Omniroq websites, applications, APIs, and related services (collectively, the "Services"). By creating an account, clicking "I agree", or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
1. The Services
Omniroq provides a cloud-based customer relationship management (CRM) platform and related tools. We may add, change, or remove features from time to time. We will not materially reduce the core functionality of a paid plan during your then-current subscription term without notice.
2. Accounts & eligibility
- You must be at least 16 years old (or the age of digital consent in your country) and able to form a binding contract.
- You are responsible for the accuracy of your registration information and for keeping your credentials confidential.
- You are responsible for all activity that occurs under your account, including the actions of users you invite ("Authorized Users").
- Notify us promptly at [email protected] of any unauthorized use of your account.
3. Subscriptions, trials & billing
- Who you buy from. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payments are also subject to Paddle's buyer terms.
- Plans & fees. Paid features are billed according to the plan, seats and billing cycle you select. Prices are stated before taxes; Paddle adds VAT or sales tax where it applies.
- Free trials. We may offer a free trial. Nothing is charged during a trial, and a trial does not turn into a paid subscription unless you subscribe.
- Renewals. Subscriptions renew automatically for the same term unless cancelled before the renewal date. You can cancel at any time from My Account → Plan & Billing → Manage billing; cancellation takes effect at the end of the current billing period.
- Changes. Seats or storage you add are charged straight away for the rest of the current period; seats you remove are credited on your next bill.
- Non-payment. If a payment fails, we may suspend or limit your access until amounts due are paid.
- Refunds. See our Refund Policy.
4. Your content & data
You retain all rights to the data, files, and information you and your Authorized Users submit to the Services ("Customer Data"). You grant us a limited, worldwide licence to host, process, and transmit Customer Data solely to provide and support the Services, and as described in our Privacy Policy and Data Processing Agreement.
You are responsible for Customer Data and for ensuring you have the necessary rights and lawful basis to provide it to us, including any personal data about your own customers and contacts.
5. Acceptable use
Your use of the Services must comply with our Acceptable Use Policy. You must not misuse the Services, interfere with their operation, attempt to access them by unauthorized means, or use them to violate the law or the rights of others.
6. Third-party integrations
The Services can connect to third-party products (for example, email, calendar, payment, and messaging providers). Your use of those products is governed by their own terms, and we are not responsible for third-party products. Enabling an integration authorizes us to exchange data with that product as needed to provide the feature.
7. Intellectual property
The Services, including all software, text, designs, and trademarks, are owned by Omniroq or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services during your subscription. You may not copy, modify, reverse engineer, resell, or create derivative works from the Services except as permitted by law.
8. Feedback
If you send us suggestions or feedback, you grant us a perpetual, royalty-free licence to use it without restriction. We are not obligated to keep feedback confidential.
9. Confidentiality
Each party may access confidential information of the other. The receiving party will protect it with reasonable care and use it only to perform under these Terms. This does not apply to information that is public, independently developed, or lawfully received from a third party.
10. Warranties & disclaimers
We provide the Services with reasonable skill and care. Except as expressly stated, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.
11. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or related to these Terms will not exceed the amounts you paid to us for the Services in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.
12. Indemnity
You will defend and indemnify Omniroq against third-party claims arising from your Customer Data or your breach of these Terms or applicable law, except to the extent caused by us.
13. Suspension & termination
- You may stop using the Services and close your account at any time.
- We may suspend or terminate access if you materially breach these Terms, fail to pay, or create risk or legal exposure for us or others.
- On termination, your right to use the Services ends. We make Customer Data available for export for a limited period after termination, after which we may delete it in accordance with our retention practices.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or in-product notice). Your continued use of the Services after changes take effect constitutes acceptance.
15. Governing law & disputes
These Terms are governed by the laws of [Governing-law jurisdiction], without regard to conflict-of-law rules. The courts located in [Country / State of incorporation] will have exclusive jurisdiction, except where mandatory local law provides otherwise.
16. General
These Terms, together with any order form and the policies referenced here, are the entire agreement between you and us. If any provision is unenforceable, the remaining provisions stay in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger or sale.
